We let you use our site and services

We are technically providing you with a 'limited license' to the site. This is what it means. We welcome you to use our applications and services (known as the services). You may have this access (or limited license) as long as you comply with these terms of use and all of our other Terms of Service that apply to you. We will do our best to ensure that our services are safe and functional, but we cannot guarantee that you will have continuous access. In fact, we may discontinue providing certain features or services entirely, and we are under no obligation to do so.

We can stop letting you use our services

We reserve the right to revoke your right to use our services at any time. We may terminate your access to Pop Up if you violate our Terms of Use or other parts of our Terms of Service. This is known as terminating your license, and if it occurs, we will notify you and you must immediately cease using our services.

We keep the rights to our intellectual property

Using our services does not grant you permission to use any of our trademarks or intellectual property, such as copyrights and patents. Even though we allow you to use our services, we retain all of our intellectual property rights. Our logos and names are registered trademarks in certain jurisdictions. Other product or company names, logos, or similar marks and symbols displayed on Pop Up may be trademarked by our partners or other users like you.

You’re responsible for what you post

You are solely responsible for how you use our app and anything you post on it. If someone sues us because of something you posted on the site, you agree to pay our legal fees and expenses (what lawyers call 'indemnification'). When you post content on (or through) our site or provide us with content for posting, you agree that you are entirely responsible for that content and that we are not. You also agree to post or provide us with content that:

  • you have the right to post
  • is legal
  • doesn’t violate anyone’s rights, including intellectual property rights

You acknowledge and agree that whoever posts content is responsible for any harm caused to anyone by that content - not Pop Up - and that you will compensate and defend us, our partners, employees, and representatives from any costs or legal or government action brought against us as a result of your content.

Other people have some rights to what you post

By posting content on the site, you give other people some rights to that content. When you post content on our site, you grant us and our affiliates a perpetual right (referred to as a "irrevocable and non-exclusive worldwide license") to use, edit, and share that content anywhere in the world without payment of royalties. If your name, voice, and image appear in content you post, we may use them on the site or in our daily operations. For instance, if you are a service provider, we may share your profile with clients who we believe would be a good fit. You also grant each user and site visitor permission to access and use your content via the site. They also have the right to use, copy and share your content – as long as they do it through the site, and follow both our Terms of Service and the law. We might show ads near your content and information, without compensating you. Depending on choices you make in your profile, we might also include your name or photo when promoting one of our features.

We’re open to your ideas

We'd love to hear your suggestions for how to improve Pop Up. This is what happens if you share them. You can send us feedback and suggestions on how to improve our services. If you do, you agree that your ideas are gratuitous and unsolicited, and that you do not expect or demand anything in return, unless we have specifically asked for your ideas and offered something in return (we like to keep our word). You agree that we are free to use, change, and share the idea as we see fit, without being obligated to compensate you in any way. And, if you do send us an idea, you agree that this does not limit our ability to use similar or related ideas, including those we already have or obtain from others.

Third parties post on Pop Up, too

Anyone else who uses our site is liable for anything they post or link to on Pop Up. We are not responsible for the accuracy or reliability of any content shared by others on our site, unless they are officially working for us at the time the content is shared or posted. Pop Up does not represent the views of anyone who shares content. Our website may also contain links to third-party websites and applications. Pop Up does not own or operate these websites or applications. If we use a link or application to a third-party website, it does not imply that we endorse it, and you agree to use it without our approval.

What you’re allowed to do on Pop Up

You are only permitted to use our services for work and to learn from the information we provide. Our website and services were designed for business use only, not for personal or consumer use. We operate our marketplace to assist users in finding one another, establishing working relationships, and making and receiving payments for their efforts. You can also use some of our services, such as our Pop Feed, to obtain information that we believe will be interesting and useful to our site visitors and users. While we make every effort to ensure that this information is up to date and accurate, errors may occur. We make no guarantees about the information on our website, so never use it as tax or legal advice. And you should always double-check the information for yourself.

What you’re not allowed to do on Pop Up

Posting unacceptable content

You may not offer, share, support, or seek anything that:

  • is illegal or defamatory
  • is violent, discriminatory, or harassing, either generally or toward a specific person or group (or encourages others to be), including anyone who is a legally protected group.
  • is sexually explicit or related to sex work or escort services
  • is in any way related to child exploitation
  • would violate our Terms of Service, another website's Terms of Service, or any similar contract
  • would violate professional or academic standards or policies - including improperly submitting someone else's work as your own, or ghost-writing essays, tests, or certifications
  • entails purchasing or requesting a fake review, or is connected in any way to creating or sharing deceptive content (such as "deep fakes" or "fake news") with the intent to deceive others.

Acting in a misleading or fraudulent way

On Pop Up, you can’t do anything that’s dishonest or meant to fool others. You are not permitted to misrepresent yourself, your experience, skills, or professional qualifications, or the qualifications of others. This includes:

  • lying about your experience, skills, or professional qualifications; • impersonating another person's profile or identity; and
  • using a profile picture that isn't you, misrepresents your identity or is someone else.
  • impersonating or falsely attributing statements to any person or entity, including a Pop Up representative or forum leader

Likewise, you must always be truthful about who is doing the work. That means you can't:

  • allow someone else to use your account, misinforming other users; or
  • using a profile picture that isn't you, misrepresents your identity or is someone else.
  • falsely claim one freelancer will do a job when another will - including submitting a proposal on behalf of a freelancer who can't or won't do the work.

When it comes to payments, we're especially concerned about avoiding fraud and misrepresentation. That is to say:
Freelancers may not charge a client fraudulently in any way, including:

  • falsifying the hours, keystrokes, or clicks recorded in the Pop Up app
  • reporting or billing time you haven't actually worked
  • reporting time worked by someone else and claiming you did the work and
  • demanding bribes or other payments with no intention of or without actually providing services in exchange for the payment.

Clients may not commit payment fraud, such as:

  • posting jobs with payment terms that are objectively unreasonable or disproportionate to the scope of services requested or
  • demanding services without the intent or ability to provide payment in exchange for the services.

Treating others unfairly

On Pop Up, everyone should be treated fairly and legally. Pop Up cannot be used to: • express an illegal preference in a job posting or proposal; • unlawfully discriminate against someone; or • incite or encourage violence.

  • post personally identifiable information or other sensitive, private data about another person
  • spam other users with proposals or invitations This includes posting the same job multiple times at the same time and contacting people you met on Pop Up outside of Pop Up without their permission
  • ask for or demand bribes or payments for anything other than the work
  • ask for or demand free work - you can't ask freelancers to submit work for little or no payment as part of a proposal bid or competition
  • request a fee in order to submit a proposal

Abusing our feedback system

You must use our feedback system in an honest and fair manner. This means you can't:

  • withhold payment or work until you've received positive feedback or
  • exchange payment (or anything else of value) for feedback, including with third parties
  • coerce another user by threatening negative feedback
  • use the system to share unrelated views (such as about politics or religion) and
  • offer or accept fake services in order to improve your feedback or rating score, a practice known as feedback building

Other uses that aren’t allowed

Pop Up relies on technology and trust – here’s how we maintain those things.

  • You are not permitted to copy, share, or give away your account. You are not permitted to have multiple accounts, and you are not permitted to sell, trade, or give your account to anyone else without our permission.
  • You can't avoid us. Outside of Pop Up, you can't talk to another user or ask for or share a way to contact them - a means of direct contact - unless you've agreed to a service contract. This means you can't include your contact information in a job posting, profile, communications, or other content. (There are some exceptions for Enterprise clients.)
  • You are not permitted to promote other organizations, including advertising other websites, products, or services. You may also not use our site to recruit freelancers or clients for another agency, website, or company unless you pay us a fee.
  • You are not permitted to interfere with our technology or tamper with our website or services. That is, you cannot:
    • circumvent any security features we've put in place to limit how you use the site - you're not allowed to try to circumvent copying restrictions
    • interfere with or compromise our systems, server security, or transmissions
    • Use a robot, spider, scraper, or similar mechanism on our website without our express written permission.
    • without our permission, copy, distribute, or otherwise use any information found on Pop Up, whether directly or through third parties (such as search engines) (no scraping allowed)
    • collect or use personally identifiable information, such as account names)
    • overburden the site with an excessive or large amount of information
    • introduce any malware, code, or viruses that may harm us, our customers, or our services
    • access our services using any technology other than our interface
    • frame or link to the services without our written permission
    • use our services to build a similar service, identify or poach our users, or publish any performance or benchmark analysis relating to the site
    • reverse engineer, decipher, modify, or take source code from our site that is not open source without our written permission
    • use our services to build a similar service, identify or poach our users; or publish any performance or benchmark analysis
